AFFILIATE PROGRAM TERMS Effective Date: January 1st, 2026 Last Updated: May 11th, 2026 These Affiliate Program Terms (“Affiliate Terms”) govern participation in the Shobbl affiliate and referral program (“Affiliate Program”). These Affiliate Terms supplement and are incorporated into the Master Terms of Use, Monetization Addendum, Advertising Marketplace Terms, Acceptable Use Policy, and all other applicable Shobbl policies (collectively, the “Terms”). Capitalized terms not defined herein have the meanings set forth in the Master Terms of Use or other Incorporated Policies. 1. Program Overview & Scope The Affiliate Program enables eligible users (“Affiliates”) to generate tracked links, codes, or identifiers (“Affiliate Links”) that attribute downstream conversions (“Conversions”) and earn referral-based compensation (“Affiliate Royalties”). For purposes of the Affiliate Program, a Conversion may include, as applicable and as determined by Shobbl, a completed purchase, subscription enrollment, content access transaction, license acquisition, event registration, or other qualifying monetization action designated by the Platform. Affiliate Royalties may be earned in connection with eligible products and content categories, which may include, without limitation: digital goods and downloadable content; creator subscriptions and platform subscription tiers; content sales, licenses, or access rights; physical or print-on-demand merchandise (where supported); ticketed events, live streams, or experiences; advertising- or sponsorship-linked conversions; and other monetizable Products or content categories enabled on the Platform. Participation in the Affiliate Program is optional, non-exclusive, conditional, and revocable. 2. Dual-Use Structure (Indie & Marketplace-Enabled) The Affiliate Program supports: Creator-to-Creator Affiliate Use, where Affiliates promote other creators’ Products independently and without participation in the advertising marketplace; and Marketplace-Enabled Affiliate Use, where Affiliate Links are used in connection with advertiser campaigns, brand programs, or platform-enabled promotional tooling. Participation in either mode does not require participation in the other, unless expressly stated. 3. Legal Characterization Participation in the Affiliate Program: does not create an agency, partnership, employment, fiduciary, franchise, reseller, or representative relationship; does not authorize Affiliates to bind Shobbl, creators, sellers, or advertisers; does not grant ownership or control over Products, pricing, inventory, or campaigns; and does not guarantee any level of compensation, conversions, or continued eligibility. Affiliates act solely as independent referrers. 4. Eligibility & Enrollment Eligibility may be conditioned on account standing, verification, content classification, jurisdictional requirements, and fraud or abuse assessments. Shobbl may approve, deny, suspend, or revoke Affiliate Program participation at its sole discretion. 5. Affiliate Links & Attribution 5.1 Attribution Conditions Affiliate Royalties are earned only where: a valid Affiliate Link is used; a qualifying Conversion occurs; the Conversion is verified, settled, and not reversed; and the Conversion complies with these Affiliate Terms and all applicable policies. Attribution windows, weighting, caps, exclusions, and eligibility rules may vary by Product, content category, region, or program configuration. 5.2 No Guarantee of Attribution Shobbl does not guarantee attribution, conversions, or Affiliate Royalties for any traffic, impressions, clicks, or referrals. Attribution determinations are final. 6. Affiliate Royalties & Platform Fees 6.1 Royalty Nature Affiliate Royalties constitute contingent, performance-based referral compensation, payable only upon verified and settled Conversions. Affiliate Royalties are not wages, salaries, or guaranteed payments. 6.2 Platform Fee Applicability Unless expressly designated otherwise in writing, Affiliate Royalties are treated as monetized Creator Content revenue and are subject to the applicable platform fee based on the content type or Product category referred, as set forth in the Monetization Addendum. Affiliate Royalties are calculated after application of: advertiser-facing fees, marketplace commissions, or campaign costs (where applicable); platform fees applicable to the referred content category; refunds, chargebacks, fraud adjustments, or enforcement actions; and other deductions described in the Terms. Advertiser-side fees and creator-facing platform fees apply at separate transaction stages and on separate revenue bases. 7. Disclosure Obligations Affiliates are solely responsible for complying with all applicable disclosure laws and regulations, including FTC endorsement guidelines, the ASA CAP Code, and the EU Unfair Commercial Practices Directive. Affiliate relationships must be disclosed clearly and conspicuously, appropriate to the medium. 8. Prohibited Affiliate Conduct Affiliates may not: engage in deceptive promotion or misrepresentation; fail to disclose affiliate relationships where required; generate artificial, automated, or misleading traffic or Conversions; engage in self-referrals, self-dealing, or circular referral schemes, except where expressly permitted by Shobbl; collude with other users to manipulate attribution or payouts; impersonate creators, advertisers, or Shobbl; use malware, spyware, or unauthorized tracking technologies; or violate any applicable law or platform policy. Shobbl may invalidate Conversions or reverse Affiliate Royalties associated with prohibited conduct. 9. Content, Brand Safety & Eligibility Affiliate activity must comply with content classification, age-gating, brand-safety rules, prohibited product restrictions, and jurisdictional limitations. Affiliate participation does not override advertising restrictions, monetization eligibility requirements, or product availability constraints. 10. Reporting, Verification & Adjustments Affiliate reporting is provided for informational purposes only and may be delayed, estimated, corrected, or revised. Shobbl may verify Conversions, delay or withhold Affiliate Royalties, reverse payouts, or modify attribution methodologies. No payout is final until settlement is complete. 11. Taxes Affiliates are solely responsible for all taxes arising from Affiliate Royalties. Shobbl may collect tax documentation or withhold taxes where required by law. 12. Suspension & Termination Shobbl may suspend or terminate Affiliate Program participation at any time. Termination does not entitle Affiliates to unpaid, unverified, or reversed Affiliate Royalties. 13. No Endorsement Participation in the Affiliate Program does not constitute endorsement, sponsorship, or approval by Shobbl of any Affiliate, Product, or creator. 14. Modification & Governing Terms These Affiliate Terms may be modified in accordance with the Master Terms of Use. Continued participation constitutes acceptance. In the event of a conflict, the Master Terms control.
